Terms & Conditions for Odeon Arte LLC Fine Art Auctions
By submitting your bid, you agree that:
You have read and agree with the Odeon Arte LLC Auctioneer Terms and Conditions stated below and the Invaluable Terms of Use Agreement for online auctions.
When you sign your Bidder Registration Agreement or click the "accept" button online you enter into a binding legal agreement with Odeon Arte LLC. You also agree to pay a Buyer's Premium of up to but not exceeding 20% of the auction hammer price.
Conditions of Sale:
BID PRICE: The highest bidder on a lot shall be deemed the buyer of the lot. The purchase price shall be the sum of 1) the price at which the item is sold (hammer price), 2) a Buyer's Premium of 20% on the bid price of any lot that sells for up to US$ 4,999,999 and 15% on any lot that sells for a bid price in the amount of US$ 5,000,000 or more, plus 3) applicable sales tax for buyers within the state of California and within states that have a reciprocal sales tax arrangement with the state of California, unless the purchaser is exempt by law from such taxes.
ACCEPTANCE OF BIDS: As each item is sold, the winning high bidder's bid shall constitute an acknowledgment of the bid and a subsequent contract to purchase. The purchaser is legally liable to pay for the item or pay the difference if we must re-offer and sell the item for a lower price. All auctions are final. When live bidding online, bear in mind that there may be a slight delay in the time the bid is received and the time the bid is acknowledged so it is recommended to not to delay bidding. Bids may be lost due to time taken to submit a live Internet bid. All bidders represent that they are bidding on their own behalf and are responsible for those lots in which they are the successful high bidder (becoming the Purchaser or Successful Bidder). Odeon Arte LLC reserves the right to refuse any bid and/or bidding registration application at its absolute and sole discretion.
REGULATION OF BIDS: The Auctioneer shall regulate the bidding and shall be the sole arbiter of any disputes. We reserve the right to withdraw any property at any time for any reason before the sale and reject a bid from any bidder without liability. Your bid is a contract. If you are the successful winning bidder you have entered into a legally binding contract to purchase the property bid on from the auctioneer. You should contact the auctioneer to resolve any questions before bidding. We reserve the right in our sole discretion to change some or all of our services at any time. All auctions are final.
ESTIMATES: The estimated value ranges given are of current market value, or of a discount from market value, and are in place in order for the buyer to make an assumption as to what may be expected as the final hammer price of a particular item. Estimates do not include the buyer's premium. Estimates are prepared some time before the auction and may be edited to reflect changes in the market or information discovered in regards to the item.
PAYMENT: Odeon Arte LLC will contact and send an invoice to all winning bidders via email at the end of each auction. Bidders may pay immediately, if they wish, via Stripe or PayPal directly on their winning auction page. The e-mailed Odeon Arte LLC invoice must be paid in full within 7 (seven) days of the date of sale if via electronic bank-to-bank wire transfer. (Our banking co-ordinates will be disclosed to the winning bidder on the Odeon Arte LLC invoice.) Due to the high value of most of our items for auction we do not accept checks, money orders, Western Union or cashier's checks.
ABSENTEE BIDS: You can place an absentee bid on a lot in a live online sale, up until the time that lot is opened for live bidding. If you are the highest absentee bidder, the Invaluable.com bidding system will place your bids automatically, one increment higher than the last online bid, until you have reached your maximum bid. Odeon Arte LLC assumes no responsibility for failure of the Invaluable.com electronic bidding system to execute any bid for any reason.
NO TRANSFERS: No lots shall be sold, transferred, or assigned to anyone other than the winning bidder prior to the shipping of the lot from Odeon Arte LLC to the winning bidder.
SHIPPING: We ship both domestically and internationally at the request of our customers. All lots shall be shipped within 10 (ten) business days (after payment is received in full) to the winning bidders by a professional shipping and packing company experienced in the secure transportation of fine art and antiques. Upon delivery the lot item or items will require an adult signature as proof of delivery. Insurance for the full purchase value is available and is strongly recommended. For all lots shipped, Odeon Arte LLC shall charge the winning bidder or purchaser only the actual packing and shipping and insurance costs. All shipments will be fully trackable.
RISK OF LOSS: In the event delivery cannot be made because of loss due to fire, theft or any other reason, Odeon Arte LLC shall only be liable for the return of any payments already made by the purchaser.
WARRANTY: All lots are sold "as is" and Odeon Arte LLC, its agents and employees, and the consignor, do not warrant any lot to be merchantable or to be suited for any purpose and they do not assume any risk, liability or responsibility for any person or reason as to a lot's source, origin, age, attribution, culture, provenance, period, purpose, authenticity, non infringement or exact measurements. There are no refunds, no exchanges and no credit given for any items purchased. All auctions are final. No verbal or written description shall be taken as expressed or implied warranty. Odeon Arte LLC offers no representation or assumption of liability and gives no warranty, expressed or implied, as to the age, condition or authenticity of any items offered for auction. Unless noted otherwise, all items have some natural wear, including scratches, chips, etc. Declared measurements of paintings and pictures are of the visible image-size, excluding frames or mattes. These Conditions of Sale may not be altered or modified except by an instrument in writing, signed by both auctioneer and buyer. Any condition statement is given as a courtesy to a client, is only an opinion and should not be treated as a statement of fact. Odeon Arte LLC shall have no responsibility for any error or omission. The absence of a condition statement does not imply that the lot is in perfect condition or completely free from wear and tear, imperfections or the effects of aging.
INDEMNIFICATION: You hereby agree to indemnify, defend and hold harmless Odeon Arte LLC and its employees, agents, affiliates, successors, officers, directors, consignors and assigns from and against any and all claims, demands, losses, actions, damages, liabilities, costs and expenses, including attorney's fees, arising out of or relating to any claim or action based upon your use of online bidding services or mechanisms used by or engaged by Odeon Arte LLC or your breach of this agreement.
APPLICABLE LAW: These Conditions of Sale shall be governed by and construed, interpreted, applied and enforced in accordance with the domestic laws of the State of California as applied to contracts entered into by residents of California and to be performed entirely within the State of California. By participating in any auction subject to these Conditions of Sale, it is agreed that all parties (including but not limited to Odeon Arte LLC, bidders, consignors and purchasers) consent irrevocably and exclusively to an arbitration venue in Los Angeles County in the State of California.
ATTORNEY'S FEES: In the event of a dispute, action, arbitration or other legal proceeding arising from the enforcement or interpretation of these Conditions of Sale, in addition to any other relief permitted by law, if Odeon Arte LLC is the prevailing party it shall be entitled to recover its reasonable attorney's fees and costs.
COPYRIGHT: All content, images and intellectual property displayed on this site by Odeon Arte LLC is protected by digital watermark technology. Digital or analogue copying of images is strictly prohibited. Violators will be pursued and prosecuted to the full extent of the law, including the Digital Millennium Copyright Act.
