CONDICIONES GENERALES:

Sala de Ventas Barcelona es un centro de contratación cuyo objeto viene constituido por la venta, previa subasta voluntaria, de los bienes, objetos artísticos o de similar naturaleza que le son encomendados para este fin, actuando como mediador entre el propietario-vendedor y los posibles compradores.

CONDICIONES GENERALES PARA EL COMPRAR Y VENDER


1. DERECHOS Y OBLIGACIONES DE SALA DE VENTAS

A. Los lotes cedidos para su subasta serán incluidos en un catálogo y expuestos durante un periodo de siete a diez días previos a la subasta, a fin de permitir un perfecto examen y conocimiento de los mismos a los posibles compradores. Todo aquel que desee participar en la subasta podrá durante ese plazo comprador por sí mismo o por los expertos que estime convenientes, la atribución, autenticidad, época, estado y demás detalles que les interesen conocer de la pieza que pretenda adquirir.

B. Las obras y objetos se subastarán en el estado en que se encuentren, no aceptando Sala de Ventas Barcelona ninguna reclamación sobre restauraciones ni desperfectos, aunque no se hayan hecho constar en el catálogo o no se detecten en las fotografías o medios escogidos para su reproducción. La exposición de los lotes previa a la subasta tiene como fin permitir el examen de los objetos u obras a subastar.

C. La descripción de los lotes y los datos que figuran en el catálogo relativos al autor, autenticidad, antigüedad y estado de conservación, se forman después de un exhaustivo estudio por parte del equipo de Sala de Ventas Barcelona, pero sobre su exactitud no se acepta responsabilidad alguna. Toda manifestación de Sala de Ventas Barcelona o de sus empleados en un catálogo, fuera de él o incluso manifestaciones verbales, respecto al autor, atribución, autenticidad, origen, fecha, edad, procedencia, estado de conservación o estimación de venta, constituyen solamente una declaración de opinión, sin vinculación alguna. Tal y como es costumbre internacional, Sala de Ventas Barcelona no responderá de que esas opiniones sean acertadas, y no admitirá por causa de ellas responsabilidad alguna.

D. La indicación en estado de marcha, referida a un reloj, significa que está en funcionamiento o que contiene todas las piezas que permitirán su puesta en marcha con una reparación. En ningún caso será Sala de Ventas Barcelona responsable de los daños causados a cristales y marcos de cuadros.

Todos los pesos y medidas de las gemas son aproximados, debido a la imposibilidad de tomar mediciones exactas a causa del engarce o diseño de la joya. El color y pureza de los diamantes engarzados solo se indicará de modo orientativo, ya que su plena determinación únicamente puede efectuarse una vez desmontados.

Igualmente, las medidas de los muebles y objetos se emiten con la mayor precisión posible, pero por las características formales de mucho de ellos, deben ser aproximadas.


E. Sala de Ventas Barcelona, sus empleados y agentes no tendrán responsabilidad alguna por los daños o pérdida de bienes causados por:
• Terceros actuando con el consentimiento del depositante-vendedor.
• Condiciones o defectos inherentes a los bienes.
Cambios en la humedad o la temperatura, o errores en la manipulación.
• Guerra, radiación nuclear o contaminación radioactiva, inundaciones o cualquier otro fenómeno de la naturaleza.

F. Sala de Ventas Barcelona se reserva el derecho de admisión de personas a sus locales o salas, e igualmente se reserva el derecho a no permitir la asistencia de determinada persona o personas en cualquiera de sus subastas. Asimismo, el subastador tiene absoluto poder discrecional para rechazar cualquier puja. El uso de estos derechos es facultad discrecional de Sala de Ventas Barcelona.

G. Sala de Ventas Barcelona se reserva la absoluta facultad discrecional, sin dar explicaciones, de rechazar pujas, dividir lotes, combinar dos o más lotes, retirar uno o más lotes de la subasta y, en caso de discrepancia, ofrecerlos de nuevo en subasta.

H. Las operaciones de venta se entenderán celebradas en el domicilio social de Sala de Ventas Barcelona, calle Rosselló, 229 (08008 Barcelona). En caso de litigio se considerarán competentes los Juzgados y Tribunales de Barcelona, con renuncia a cualquier otro fuero que pudiera corresponder a los participantes en la subasta.

I. Las operaciones en que interviene Sala de Ventas Barcelona, en cuanto a su cualificación jurídica y efectos consiguientes, quedan sometidas a las disposiciones del Derecho Español y más en concreto a las estipulaciones que regulan los contratos de mediación y depósito. El mero hecho de participar en la subasta, ya sea como vendedor, comprador pujador, o incluso como espectador, en la medida que le afecten, supone aceptar y someterse a estas Condiciones Generales.



2. RELACIÓN CON LOS COMPRADORES

A. Todo comprador deberá identificarse positivamente, la primera vez que participe en una subasta, mediante documento acreditativo de su identidad, DNI o CIF, haciendo llegar copia del mismo a Sala de Ventas Barcelona por fax o por mail. Sala de Ventas Barcelona se reserva el derecho de solicitar referencias de quienes tengan intención de participar como licitadores en una subasta. Igualmente podrá requerir del adjudicatario referencias bancarias o cualquier otro tipo de garantías. Los datos facilitados a la hora de acreditarse como licitador serán los que aparecerán en la factura de compra, sin posibilidad de modificación sin causa justificada.

Sala de Ventas Barcelona no podrá aceptar pujas de clientes o no adjudicarles remates, en caso de que su solvencia no quede debidamente acreditada o hayan incurrido anteriormente en mora en alguna subasta.

B. Será comprador el mejor postor, el cual adquirirá el objeto subastado al precio de adjudicación que se señale en el momento del golpe de martillo. A ese precio se añadirá el 18% en concepto de honorarios de intermediación de la sala y el IVA correspondiente. Todo desacuerdo al respecto será resuelto por el director de la subasta en uso de su absoluta facultad discrecional, de acuerdo con lo estipulado en las condiciones generales.

C. Durante los días de exposición previos a la subasta, Sala de Ventas Barcelona pone a disposición de los posibles compradores unas hojas de pujas por escrito, incluidas también en el catálogo, con la finalidad de facilitar la adquisición de lotes a los interesados sin necesidad de acudir a la subasta. Esas pujas por escrito se pueden entregar en mano o bien enviarlas por carta o fax, haciendo constar en todo caso el límite de precio de adjudicación (antes de corretaje) de cada lote por el que desean que Sala de Ventas Barcelona puje por cuenta suya, así como los datos requeridos en la hoja (nombre y apellidos, dirección, código postal, teléfono, NIF y firma). La sala se reserva el derecho a no admitir las pujas por escrito en las que no consten la totalidad de los datos solicitados o los mismos sean manifiestamente falsos y, en ningún caso, se admitirán aquellas cuyos domicilios sean apartados de correos.

Los lotes se adjudicarán al precio más bajo que permitan las demás pujas. En caso de empate de pujas por escrito, prevalecerá la de fecha más antigua. Si el empate es con una puja por teléfono o en sala, tendrá prioridad la oferta efectuada por escrito.

Los encargos de pujas realizadas por teléfono o las solicitudes para pujar por teléfono se aceptarán solamente bajo responsabilidad del solicitante y deberán ser confirmadas antes de la subasta por carta, telegrama o fax. No se admitirán pujas por teléfono de personas no identificadas previamente. El mero hecho de solicitar la llamada telefónica para pujar en directo por un lote implica pujar por la salida de ese lote, y si ya estuviera pujado, cubrir la puja inmediatamente superior.

Ni Sala de Ventas Barcelona ni sus empleados o agentes serán responsables por negligencia o defecto alguno en la ejecución de las pujas encomendadas o por dejar de ejecutarlas, o por cualquier fallo en las telecomunicaciones utilizadas para ello.

D. Sala de Ventas Barcelona repercutirá al comprador el Impuesto sobre el Valor Añadido sobre los derechos o corretaje por su mediación en la compra.

E. Los compradores recibirán una comunicación indicándoles los lotes adjudicados y el importe total de la adquisición. Los lotes adjudicados deberán abonarse en el plazo máximo de diez días naturales desde la celebración de la subasta. Al precio de adjudicación se añadirán los honorarios de Sala de Ventas Barcelona (18%) y el IVA correspondiente al mismo, así como cualquier otro gasto asumido por el comprador.

Los pagos podrán realizarse a través de transferencia, ingreso bancario, efectivo o cheque bancario. Se recuerda limitación de los pagos en efectivo para facturas cuyo importe total sea superior 2.500 euros de acuerdo con la ley 7/2012 de 29 de octubre.

Transcurrido el mencionado plazo el mencionado plazo si el comprador no hubiera satisfecho las cantidades pendientes, Sala de Ventas Barcelona realizará todas las gestiones a su alcance para conseguir el pago e informará del hecho al vendedor, quien desde este mismo instante confiere representación a Sala de Ventas Barcelona para entablar cuantas acciones judiciales considere oportunas en aras de hacer cumplir el contrato o sacar de nuevo a subasta el objeto no abonado. Si el adjudicatario de un lote no pagase el importe total de la operación deberá a todo caso pagar a Sala de Ventas Barcelona las comisiones, gasto y seguros que sobre el precio de remate le corresponde abonar a cualquier comprador. La demora en el pago por parte del comprador de los lotes que se haya adjudicado supondrá un incremento en concepto de intereses, a razón del 1,5% mensual, prorrateándose por días, por las cantidades pendientes, calculados desde del día de celebración de la subasta hasta el día del completo pago.

F. Los lotes adjudicados podrán retirarse por el comprador de las dependencias de Sala de Ventas Barcelona una vez el precio de adjudicación, más los honorarios de la misma y el IVA y demás gastos asumidos por el comprador, hayan sido abonados de forma efectiva y siempre se hayan completado los trámites legales en los supuestos de obras sometidas a la Ley 16/85 del 25 de Junio, del Patrimonio Histórico Español.

A partir de ese momento el comprador deberá retirar los lotes adquiridos en el plazo de diez días naturales, durante los cuales los podrá retirar por cuenta propia dentro de los horarios comerciales establecidos por Sala de Ventas Barcelona.

Finalizado ese plazo, Sala de Ventas Barcelona podrá optar por entregar los lotes adjudicados a un almacén, bajo la entera responsabilidad del comprador, facturando al comprador los gastos en concepto de almacenaje a razón de 5 euros (10 euros si son muebles), más IVA por lote y día en el que el (los) lote (s) permanezcan en el almacén. El comprador autoriza a la sala para que retengan el (los) lote (s) en tanto en cuanto no le sean reintegrados todos los gastos asumidos en el presente contrato. Cualquier daño que sufrieran los lotes en esa situación será responsabilidad exclusiva del comprador.

Los compradores que deseen retirar al terminar la subasta los lotes adjudicados, podrán hacerlo, siempre y cuando sea posible, abonando el total importe en efectivo (con las limitaciones legales antes mencionadas). Durante la celebración de la subasta no se podrán entregar lotes.


G. Los importes a facturar a los compradores no incluyen el transporte (que siempre será por cuenta y riesgo del comprador y deberá ser asegurado), embalajes especiales para el mismo ni seguros adicionales. A petición del comprador, estos servicios se realizarán y se facturarán independientemente de la factura de compra, no haciéndose Sala de Ventas Barcelona responsable de los daños que pudiera sufrir cualquier mercancía durante su transporte (roturas totales o parciales, desperfectos, pérdidas, etc.), una vez haya salido de las dependencias de Sala de Ventas Barcelona.

El precio del embalaje será de 5 a 35 euros según el tamaño y complicación (consultar antes).

H. El embalaje y manipulación por el personal de Sala de Ventas Barcelona de lotes adjudicados se lleva a cabo exclusivamente como atención hacia los clientes, y en el caso de objetos frágiles, se realizará por parte de Sala de Ventas Barcelona a su absoluta discreción. En ningún caso será Sala de Ventas Barcelona responsable de daños ocasionados a cristales y marcos, con independencia de su causa. Aunque Sala de Ventas Barcelona pueda recomendar a embaladores y transportistas, en ningún caso será aquella responsable de los errores y omisiones cometidos por estos.

I. El comprador se responsabilizará de todo daño, perjuicio o pérdida que afecte a los objetos o lotes que ha adquirido a partir del momento en que se realice el pago de los mismos (hayan salido o no los objetos de los locales de Sala de Ventas Barcelona). Ni Sala de Ventas Barcelona ni sus empleados o agentes se responsabilizarán de cualquier daño, perjuicio o pérdida de ninguna clase que sufran los citados objetos, ya sea por inundación, incendio, robo, hurto, etc.

J. Muchos de los lotes incluidos en las subastas precisan para abandonar el territorio español de la autorización expresa y previa de la Administración del Estado. Todas las obras con destino a países de la Unión Europea están exentas de las tasas de exportación. Aquellos compradores que deseen enviar sus adquisiciones fuera del territorio español, y precisen la autorización expresa y previa de la Administración, tendrán que solicitar dicha autorización en la forma y los requisitos que se establecen en el Reglamento de dicha ley. Para el caso de solicitarse la autorización, dicha solicitud supondrá, a todos los efectos, una oferta irrevocable de venta a favor del Estado Español, el cual la podrá ejercitar.

K. Sala de Ventas Barcelona, en cumplimiento de los dispuesto en la Ley 16/85 del 25 de Junio, del Patrimonio Histórico Español y normas complementarias, comunicará a la Generalitat de Catalunya y al Ministerio de Cultura, con la antelación preceptiva, el contenido de sus catálogos. Sobre los bienes sometidos a la ley 16/85, la Administración podrá ejercer su derecho de tanteo cuando la venta se realice en pública subasta, mediante la comparecencia de un representante del Ministerio de Cultura en la subasta, el cual, en el momento en que se determine el precio de remate del bien subastado, manifestará el propósito de hacer uso de tal derecho, quedando en suspenso la adjudicación del bien. Cuando la venta se realice de otra manera podrá ejercer sus derechos de tanteo y retracto, dentro de los plazos legalmente establecidos al efecto, a partir de la fecha en que se le notifique el propósito de realizar la enajenación, o de que, en defecto de dicha notificación, tenga conocimiento fehaciente de la enajenación.



3. RELACIÓN CON LOS VENDEDORES

A. El vendedor se obliga a identificarse mediante su Documento Nacional de Identidad, o documento alternativo, debiendo identificar también, al propietario del lote depositado caso que fuere distinto. Para ello, la primera vez que contrate con Sala de Ventas Barcelona deberá facilitar copia del DNI o CIF.

B. El vendedor concede a Sala de Ventas Barcelona el derecho a fotografiar y reproducir cualquier bien cuya venta le sea encomendada, en cualquier soporte o momento, relacionado o no con la subasta. En el caso de que esa reproducción conllevase el abono de derechos de propiedad intelectual, el importe de esos derechos sería deducido de la liquidación al vendedor.

C. Derechos de acceso a catálogo: El vendedor se obliga a abonar la cantidad de 10 euros más IVA, por cada lote vendido, por el concepto de derechos de acceso al catálogo. Dicha cantidad será detraída de la liquidación que la sala efectuará del lote vendido.

D. Los diferentes lotes deberán ser entregados a la sala, para su colocación y adecuada publicidad, dentro del margen de tiempo establecido en cada momento por la misma. La entrega en fecha posterior libera a la sala de la obligación de incorporar el lote correspondiente en la plataforma publicitaria escogida para informar de la subasta.

E. El equipo de expertos de la sala, una vez estudiados los diferentes lotes y de acuerdo con el vendedor, establecerá un precio de salida de venta al mejor postor para cada lote. Dicho precio figurará en el albarán de cesión de los objetos a subastar. La estimación del precio de salida no compromete el valor real que pudieran tener los lotes, ni garantiza que puedan ser adjudicados por dicha suma.

F. La sala se compromete a dar publicidad a la venta, por el método y plataforma que considere más adecuado. Dicha publicidad quedará a criterio de los profesionales designados por la misma. La sala colocará los lotes de acuerdo con su experiencia, para su exposición en la sala correspondiente, donde permanecerán hasta la siguiente venta programada.

G. Los objetos cedidos a Sala de Ventas Barcelona para su subasta no están asegurados. Cualquier percance que sufran (robo, hurto, pérdida, rotura, inundación, incendio, etc.) será por cuenta y riesgo del depositante-vendedor. Sin embargo, Sala de Ventas Barcelona pone a disposición de los propietarios de los lotes una póliza de seguro cuyo importe, de ser aceptado por escrito previamente, se cargará en una factura, en concepto aparte, en el momento de la liquidación de los lotes vendidos.

H. La sala no asumirá ningún coste por transporte, restauración, limpieza, enmarques, certificados, etc. Dichos gastos, de existir, serán asumidos por el vendedor.

I. El vendedor se obliga, con absoluta indemnidad de la sala, a devolver íntegramente el precio pagado por el comprador si, dentro de los quince días siguientes a la celebración de la subasta, éste notifica por escrito a la sala que el lote comprado es una falsificación deliberada y demuestra de manera fehaciente tal hecho.

J. El vendedor autoriza a la sala para cobrar del comprador al que se le adjudique el (los) lote (s) el precio de la adjudicación. Producida la adjudicación y siempre que la sala haya cobrado del comprador de forma efectiva, ésta se obliga a liquidar al vendedor, en el plazo máximo de 30 días, el importe obtenido por la venta, previo deducir la comisión que corresponde a la sala en concepto de honorarios y el importe correspondiente a los derechos de acceso a catálogo y demás gastos que correspondan. Dicha comisión se estable, salvo pacto en contrario, en la cantidad de 18% del valor final de adjudicación del lote o lotes, incrementada con los impuestos correspondientes. El plazo establecido podrá verse prorrogado en el supuesto de que la pieza o lote vendido esté sujeta a la Ley Patrimonio Histórico Español o aquella en virtud de la Comunidad Autónoma le corresponda o le sea de aplicación, en cuyo caso el precio de venta se abonará en el plazo máximo de cinco días desde que se obtenga el permiso de exportación. A las obras de autores sujetos a la Ley 22/87 de la propiedad intelectual, se aplicará el impuesto correspondiente que la sala detraerá para su liquidación. El mes de Agosto se considerará inhábil a todos los efectos.

K. El vendedor se obliga a no retirar los objetos entregados hasta después de la fecha programada para la venta y siempre que éste resultase desierta. Si el cedente de un lote lo retira una vez colocado en exposición, deberá abonar a la sala la comisión que corresponda sobre el precio de salida, tanto por la compra como por la venta de dicho lote, en concepto de gasto e indemnización libremente pactada. A dicha cantidad se le añadirá el IVA que en cada momento corresponda.

L. Venta directa y almacén: Los lotes no vendidos permanecerán durante dos semanas, después de la subasta, en periodo de venta directa al precio de salida, salvo indicación del propietario.

Los lotes no vendidos deberán ser retirados por el vendedor dentro de los horarios establecidos por la sala, antes del transcurso de cinco días naturales desde la celebración de la subasta o desde el día siguiente al periodo de venta directa.

Transcurrido el plazo antes señalado, el vendedor se obliga abonar, en concepto de "derecho de almacén" una cantidad igual a 5 euros (10 euros si son muebles), más IVA por lote y día, en el que el (los) lote (s) permanezcan en el almacén de la sala. El vendedor autoriza a la sala para que retenga el (los) lote (s) en tanto en cuanto no le sean reintegrados todos los gastos asumidos en el presente contrato.

Cuando el importe adeudado en concepto de almacenaje supere el valor por el que inicialmente se puso en subasta (precio de salida) el lote pasará a ser propiedad de Sala de Ventas Barcelona, sin derecho a indemnización alguna a favor del depositante-vendedor. En cualquier caso, existe la posibilidad que el depositante-vendedor solicite por escrito que esta facvultad no se de respecto a piezas o lotes concretos.

El depositante-vendedor asumirá la responsabilidad de los desperfectos o pérdida de los objetos depositados en el almacén.

M. Transcurrido un plazo prudencial de 15 días hábiles, desde la fecha en que debieron ser retirado, sin que el vendedor retire el (los) lote (s) de su propiedad o si no se abonará la cantidad estipulada en concepto de almacén y sin perjuicio de cualquier otra decisión que se tome por la sala respecto a futuras colaboraciones, desde este momento la misma queda autorizada a poner a la venta el lote o lotes correspondientes por un valor igual al 60% del precio establecido de salida para la subasta y, en última instancia, si tampoco se vendiera, cuando el importe adeudado en concepto de almacenaje supere el valor por el que inicialmente se puso en subasta, el lote pasara a ser propiedad de la sala, sin derecho a indemnización alguna a favor del vendedor, quien desde ese momento así lo autoriza y consiente. En cualquier caso, se establece la posibilidad de pacto en contrario por escrito.

N. En el supuesto de que un lote se haya adjudicado en la venta al mejor postor, pero el comprador no abone su precio en el plazo establecido y se cumplan las condiciones ofrecidas al adquiriente, la sala considerará la venta desierta, pudiendo retirar el lote y ubicarlo en los almacenes de la sala. A partir del momento en que se notifique por la sala al vendedor dicha circunstancia, salvo notificación expresa por escrito, se aplicará lo dispuesto en los aparatados L y M respecto a la venta directa, retirada, almacén.

O. El vendedor no podrá, bajo ningún pretexto, participar como comprador de los lotes de su propiedad. Si, infringiendo esta prohibición resultase adjudicatario de alguno de los lotes, vendrá obligado a abonar a la sala las comisiones correspondientes, tanto de comprador como de vendedor sobre el precio final de la adjudicación.

P. El vendedor responde de la autenticidad de la (s) obra (s) frente a terceros, así como de la realidad de su título, con total indemnidad de la sala, garantizando a Sala de Ventas Barcelona tanto el pleno dominio como el hecho de que estén libres de cargas y gravámenes y que no existen reclamaciones de las autoridades sobre los mismos.

Q. El vendedor se obliga a cumplir con lo establecido en la Ley del Patrimonio, Ley General Tributaria y Ley de Propiedad Intelectual, la cual establece los derechos de los artistas y sus herederos hasta 60 años después del primero de enero siguiente a la muerte del artista a percibir del vendedor un 4% del importe por el que se ha realizado la operación, siempre y cuando el precio de martillo haya sido superior a 1.200 euros.

El depositante-vendedor acepta las condiciones de pago que fija la Ley de Patrimonio en caso que el Estado ejerza el derecho de tanteo sobre una pieza.

R. Los firmantes se someten a la jurisdicción y competencias de los tribunales de Barcelona.

GENERAL CONDITIONS:

Sala de Ventas Barcelona is a Saleroom, whose purpose is to sell goods, artworks, and works of a similar nature entrusted to them for this purpose, on voluntary auction, acting as an agent between the Owner-Seller and any potential Buyer.

BUYING AND SELLING GENERAL CONDITIONS


1. SALA DE VENTAS' RIGHTS AND OBLIGATIONS

A. Lots for auction will be included in a catalogue, and will be exhibited for seven to ten days prior to the auction to offer potential Buyers the chance to examine them. Any person willing to bid in the Auction will be able, during this period, to check, by themselves or helped by as many experts as they may deem necessary, the attribution, authenticity, period, condition and details about the Lots.

B. Works of art and objects will be auctioned AS IS. Sala de Ventas Barcelona will not accept any complaint about any restoration or imperfection even if they were not registered on the catalogue or were undetectable on the photographs or any means chosen for display. The exhibition of the Lots before the auction is intended to be an opportunity to examine the objects or works of art.

C. Lots description and information on the catalogue about authorship, authenticity, age and state of preservation are made after a thorough examination by the staff of Sala de Ventas Barcelona, but no liability is accepted for its accuracy. Any statement by Sala de Ventas Barcelona or their staff in a catalogue or outside it, even verbal statements on authorship, attribution, origin, date, age, background, state of preservation or selling estimation are considered solely an opinion, and thus non-bidding. Sala de Ventas Barcelona takes no responsibility on the accuracy of such opinions and will not admit any liability.

D. Indication on functioning on a clock or watch means that it works or that it has all the pieces that will allow it to work after repair work. In no event shall Sala de Ventas Barcelona be liable to damage caused on picture frame glasses and frameworks.

All weights and measures on gemstone are approximate, as it is impossible to exactly measure pieces due to setting or design of the jewel. Colour and clarity of mounted diamonds will only be indicated as a mere orientation, as they can only be properly assessed once removed from the setting.

Likewise, measures for furniture and objects that appear in the catalogue are as accurate as possible, but as every piece has its own formal characteristics, they must be considered approximate.


E. Sala de Ventas Barcelona, their staff and agents shall not be held liable for damages or loss of goods caused by:
• Third parties acting with the agreement of the Seller.
• Conditions or defects inherent in the goods.
Changes on humidity or temperature, or improper handling.
• War, nuclear radiation or radioactive contamination, floods or any other natural phenomenon.

F. Sala de Ventas Barcelona reserves the right to refuse admission of individuals to their premises or rooms and, likewise, reserves the right to prevent certain person or group of persons to attend any of their auctions. Sala de Ventas Barcelona has discretionary authority to apply these rights.

G. Sala de Ventas Barcelona reserves the right at its sole discretion and without stating a reason to refuse any bid, to divide any Lot, to combine two or more Lots, to withdraw any Lot from a Sale and, in the event of disagreement, to put them for auction again.

H. Sales operations will be held at the registered offices of Sala de Ventas Barcelona, c/ Rosselló, 229 (08008, Barcelona). Any dispute relating to this Terms and Conditions will be settled at the Courts and Tribunals of Barcelona, expressly waiving any other jurisdiction to which they may be entitled.

I. All transactions by Sala de Ventas Barcelona, regarding its legal qualifications and consequent effects, shall be subject to provisions of the Spanish Law, and specifically to regulations on mediation contracts and escrow contracts. Participating in this Auction, whether it is as a Seller, Buyer, Bidder, or even as a spectator, mean full acceptance of these Terms and Conditions.



2. BUYER'S AGREEMENT

A. Buyers must present a valid ID document the first time they want to enter an Auction (ID card, Tax Number Identification, or Passport). A copy should be sent to Sala de Ventas Barcelona by fax or e-mail. Sala de Ventas Barcelona reserves the right to ask potential bidder's references, as well as bank references or any other guarantees for successful bidders. Personal information provided while registering as a Bidder will appear in the invoice and cannot be modified without a justified cause.

Sala de Ventas Barcelona will not accept bids from clients nor knock down Lots to clients whose solvency is not properly proven or who have previously incurred in payment delays.

B. The Buyer will be the Bidder who makes the highest Bid acceptable to the Auctioneer for any Lot to whom the Lot is knocked down by the Auctioneer by the fall of the Auctioneer's hammer. In addition to the hammer price, the Buyer will have to pay a Buyer's Premium of 18%, and VAT. Disputes on this subject will be settled by the Auctioneer in his absolute discretion, according to the Terms and Conditions.

C. During the exhibition days previous to the Auction, Sala de Ventas Barcelona will provide potential Bidders with Bidding Forms, also included in the catalogue, so to ease purchasing Lots without being present during the Auction. These Bidding Forms can be submitted in person, by mail or fax, always stating the limit price of the bid (Buyer's Premium not included) for each Lot for which you wish Sala de Ventas Barcelona to bid on your behalf, along with all required personal details (name, surname, address, postcode, telephone, tax ID number, and signature). Sala de Ventas Barcelona reserves the right to reject bids if the required information is not complete or if it is demonstrably untrue. The saleroom will not admit PO Boxes as addresses.

Lots will be knocked down at the lowest possible price subject to other bids made on the Lots. If two or more Bidders submit identical bids for a Lot, the first bid received takes preference. If there's a tie between a telephone/paddle Bid and an Absentee Bid, the absentee will prevail.

Requests for telephone Bids will be accepted only under the sole responsibility of the requester, and they must be confirmed before the Sale takes place by letter, telegram or fax. No telephone Bids will be accepted from persons who have not been previously identified. Requesting a telephone call to Bid for a Lot implies that you are bidding for the opening bid on the Lot and, if the opening bid has been already met, you'll Bid for the next increment.

Neither Sala de Ventas Barcelona nor their staff or agents will be responsible for negligence or default for bidding on your behalf or for not being able to bid, or for telephone failure.

D. All the sums payable to Sala de Ventas Barcelona by the Buyer (Buyer's Premium) are subject to VAT.

E. Buyers will receive a notification including knocked down Lots and total sum of the purchase. Buyers must pay for knocked down Lots within 10 calendar days after the date of the Sale. Buyers will have to pay the Hammer Price and the Buyer's Premium (18%) plus VAT and any other associated expenses.

Payments can be done by bank transfer, bank deposit, cash or bank cheque. Note that there is a limit on cash payments for invoices equal or higher than 2500 Euros in accordance to Law
7/2012 of 29 October.

If the Buyer fails to pay for the Lots after the term of payment, Sala de Ventas Barcelona will take all necessary steps to secure payment and will inform the Seller, who will entitle Sala de Ventas Barcelona to take legal proceedings against the Buyer to enforce the contract or to resell the Lot by Auction. If the Buyer doesn't pay the whole price of the transaction he will have to pay all commissions, expenses or insurances over the Hammer Price to Sala de Ventas Barcelona. Payment delays will incur interests at a 1.5% monthly rate based on outstanding charges, prorated by days and calculated from the day the Auction took place to the day that the payment is made.

F. Collection of Lots will only be allowed once Sala de Ventas Barcelona has received cleared funds to the amount of the full purchase price, Buyer's Premium, VAT and all of the sums owed by the Buyer and once all legal procedures regarding artworks subject to the Spanish Heritage Law 16/85 of 25 June.

From this moment the Buyer will have to collect the Lots within 10 calendar days, and during Sala de Ventas Barcelona opening hours.

After this period, Sala de Ventas Barcelona can take away the Lots for storage under the Buyer's responsibility. The Buyer will have to pay storage fees at our current daily rates: 5 € (10€ for furniture) plus VAT per Lot. The Buyer allows the saleroom to retain the Lot(s) until all expenses subject to this contract have been paid. The Buyer shall be held responsible for damages on the Lots during storage.

Buyers who want to collect their Lots after the Sale has ended will be able to do so provided they pay the whole sum in cash (note the legal limitations mentioned above). Lots won't be delivered during an ongoing Sale.


G. Amounts to be billed to the Buyer don't include transport (that will be at the Buyer's risk and should be insured), special packing or additional insurance. This service can be provided under request and will be invoiced independently of the purchase invoice. Sala de Ventas Barcelona accepts no responsibility for damages during transport (partial or total breaking, loss or damage) once outside their premises.

Packing prices vary from 5 to 35 Euros depending on size and difficulty (kindly ask for prices).

H. Packing and handling purchased Lots by the staff of Sala de Ventas Barcelona is a mere courtesy to our clients and, in the case of fragile goods it is at our sole discretion. Sala de Ventas Barcelona shall not be held responsible for damages to glasses and frameworks, regardless to their cause. Sala de Ventas Barcelona can recommend packing and/or transport companies but accepts no responsibility over errors and omissions by such companies.

I. The Buyer will be responsible of loss or damage caused to the purchased Lot(s) once these have been paid (regardless of whether they have been removed from the premises of Sala de Ventas Barcelona or not). Neither Sala de Ventas Barcelona nor their staff or agents shall be held responsible for damage, injury or loss caused to the objects, either because of floods, fire, theft, etc.

J. Many Lots included in our Auctions require prior express permission of the Administration of the State to leave Spanish territory. All works of art whose destination is an EU country are free of export taxes. Buyers who wish to send their purchases outside the Spanish territory and need prior express permission of the Administration will have to request such permission in due legal form and requirements established by the Law. If permission is requested, it will imply for any purpose an irrevocable sales offer to the Spanish State, which will be entitled to exercise its right.

K. In compliance with the Law 16/85 of Spanish Historical Heritage, and supplementary standards, Sala de Ventas Barcelona will inform the Generalitat de Catalunya and the Ministry for Culture about the content of their catalogues in due time. On any goods subjected to the Law 16/85, the Administration has the right of first refusal when a Sale is settled by auction. A Ministry for Culture representative can attend the auction and, once the hammer price is settled, declare that the State wants to make use of its right. The sale of the good will then fall into abeyance. When a Sale is settled by any other means the State can exercise the rights of first refusal and pre-emption, within the statutory time limits, from the date of notification of the Sale or, in the absence of such notification, from the moment the Administration has reliable knowledge of the Sale.



3. SELLERS' AGREEMENT

A. The Seller must present a proof of identity with a valid ID card or Passport. If the owner of the Lot is different from the Seller, it must be properly identified also. For this reason, you'll be asked to submit a copy of your ID or tax identification number the first time you enter into a contract with Sala de Ventas Barcelona.

B. The Seller gives Sala de Ventas Barcelona the right to photograph and copy all goods to sell, in any medium or moment, whether related to the Auction or not. If copying entails payment of copyright fees, these will be subtracted from the Sales Proceeds.

C. Right of access to the catalogue: The Seller must pay a 10€ plus VAT fee for each Lot that has been sold as rights to appear in the catalogue. The fee will be deducted from the Sales Proceeds.

D. The Lots shall be handed over to the auction house in due time to properly display and advertise them. If you fail to deliver the Lots on time, Sala de Ventas Barcelona will be relieved of the obligation to add the Lot to the advertising platform for the Sale.

E. Our team of experts, after examining each Lot and in accordance with the Seller, will establish an opening bid at which the Lot may be sold. This price will be written down in the delivery note for the Lots to sell. The estimation of an opening bid does not compromise the actual value of the Lots nor guarantees a Hammer Price on that amount.

F. The saleroom is committed to publicize the Sale by the means of promotion and platforms it deems more suitable. The promotion will be at the discretion of the professionals chosen by the auction house. SALA DE VENTAS BARCELONA will place the Lots for display in the exhibition halls, where they'll be displayed until the following Sale.

G. Objects assigned to Sala de Ventas Barcelona for sale are not insured. The Seller will bear the risk of loss (robbery, theft, loss, damage, flood, fire, etc.). However, Sala de Ventas Barcelona provides the Sellers with an insurance policy for the Lots. The amount of the policy must be accepted in writing prior to the Sale, and it will be invoiced separately when distributing the Sale Proceeds.

H. The auction house won't cover any expenses for transport, restoration, cleaning, framing, certifying, etc. In the event of such expenses, the Seller shall pay them.

I. The Seller shall hold the auction house harmless from any claims, and is obliged to reimburse the price of any purchased Lot if, within 15 days from the Sale, the Buyer notifies the saleroom in writing that the Lot is a forgery and offers reliable proof.

J. The Seller authorises Sala de Ventas Barcelona to charge the Hammer Price to the Buyer of the Lot(s). Once the Lots are knocked down and the saleroom has received cleared funds, Sala de Ventas Barcelona will distribute the Sales Proceeds to the Seller within 30 days, deducting the saleroom commission, the rights of access to the catalogue and associated expenses that may apply. The commission is a 18% of the Hammer Price plus taxes. The payment term can be delayed if the Lot is subject to the Law of Spanish Historical Heritage or to any Regional Laws. In this event, the Sales Proceeds will be paid within 5 days after the export license is issued. Artworks by authors subject to Law 22/87 on Intellectual Property are subject to special tax; Sala de Ventas Barcelona will subtract the amount in order to pay for it. August shall be considered a nonworking month for all intents and purposes.

K. The Seller shall not withdraw the Lots on custody until after the date of the Sale, and when the Sale has been declared deserted. If the Seller of a Lot withdraws it after it has been put on display, he/she will have to pay both the Buyer's Premium and the Seller's Commission of the opening price, as an agreed compensation. These amounts are subject to VAT.

L. Direct sale and storage: Unsold Lots will be held for direct sale for two weeks after the auction, at the opening price, unless otherwise specified by the Owner.

The Seller shall remove unsold Lots during opening hours of the saleroom and within five calendar days after the Sale, or from the following day after the direct sale period.

After this period the Seller will have to pay a daily storage fee per Lot of 5 Euros (10€ for furniture) plus VAT. The Seller authorises the saleroom to retain the Lot(s) until all expenses due to Sala de Ventas Barcelona have been paid.

If the amount owed for storage is higher than the opening price for the Lot, then the property will pass to Sala de Ventas Barcelona, and the Seller will have no right to claim compensation. However, the Seller can submit a writing request for not applying this rule to particular works or Lots.

The Seller shall assume responsibility for loss or damage of stored objects.

M. After a reasonable period of 15 working days after the date that the Seller had to remove the Lot(s) or if the Seller failed to pay the storage fee, and without prejudice of any other decision made by the saleroom regarding future collaboration, Sala de Ventas Barcelona has the power to put the Lot(s) for sale. The sale price will be equal to 60% of the opening price for the auction and, ultimately, if the Lot is not sold and the amount owed for storage is higher than the opening price, property of the Lot will pass to the saleroom, and the Seller will have no right to claim compensation unless otherwise agreed in writing.

N. If a Lot has been knocked down to the highest bid but the Buyer fails to pay in due term and all conditions offered to the purchaser are met, the saleroom will consider the Sale null and void, and will have the right to withdraw the Lot and place it at the storage rooms of Sala de Ventas Barcelona. From the moment the saleroom notifies the Seller this situation, and unless otherwise notified in writing, sections M and L of these Terms and Conditions will apply (direct sale, storage, recollection).

O. Under no circumstances should the Seller take part in the Sale as a Buyer for Lots of his/her property. If you, as Seller contravene this prohibition and a Lot is knocked down to you, you will have to pay all associated commissions, both the Buyer's Premium and the Seller's Commission.

P. The Seller shall be held responsible by third parties for the authenticity of the Lot(s), as well as its full title, and shall hold Sala de Ventas Barcelona harmless of any claim. The Seller guarantees full ownership and that the Lots are free of charges, encumbrances and third party claims.

Q. The Seller undertakes to comply with the Heritage Law, the General Taxation Law, and the Intellectual Property Law, which establishes the right for the artists and their heirs, until 60 years after the 1st of January following the death of the artist, to receive from the Seller a 4% of the amount of the Sale if the Hammer Price is higher than 1,200 Euros.

The Seller accepts the payment terms established by the Heritage Law in the event of the State exercising its right of first refusal on a Lot.

R. The signing parties submit to the jurisdiction of the courts of Barcelona.

Bidding increments:
From 10 to 100 bids will increase 10 Euros.
From 101 to 500 bids will increase 20 Euros.
From 501 to 1.000 bids will increase 50 Euros.
From 1,001 to 2.000 bids will increase 100 Euros.
From 2,001 to 5.000 bids will increase 200 Euros.
From 5,001 to 10.000 bids will increase 500 Euros.
From 10,001 to 20.000 bids will increase 1,000 Euros.
From 20,001 to 50.000 bids will increase 2,000 Euros.
From 50,001 to 100.000 bids will increase 5,000 Euros.
From 101,000 on, bids will increase at the Auctioneer's discretion.


ABSENTEE BIDDING: ABSENTEE BIDDING ABIDES TO THESE GENERAL CONDITIONS; SPECIFIC CONSIDERATIONS ON DESCRIPTIONS AND STATE OF PRESERVATION OF THE OBJECTS.

Absentee bidders, during and after the Auction, submit to these Terms and Conditions, with particular emphasis on the fact that all descriptions and photographs contained in the catalogue and/or the Webpage are only for guidance, and the only valid condition of the object will be as it is during exhibition. We won't accept complains if the Buyers have failed to examine the condition of the object, or to ask someone to examine it on their behalf during the exhibition period. DON'T HESITATE TO ASK US ABOUT THE CONDITIONS OF THE LOT BEFORE BUYING IT.

COMMISSION CHARGED TO BUYERS: Besides the Purchase price, Buyers must pay a 18% Buyer's Premium, plus VAT.

BIDDING BY FAX OR VIA THE INTERNET: Sala de Ventas Barcelona can only ensures Bids received at least 24 hours before the Sale. We strongly recommend confirming your Bid by phone.

Shipping Terms

SHIPPING: Stephenson's Auction offers limited in house shipping. We do not ship internationally. Shipping must be arranged within 10 days of the auction. We will ship items that can fit within a Small Priority Mail Flat Rate Box. We do not provide shipping for any item which will not safely fit into one of these boxes. Flat rate shipping of the box plus the cost of packing and insurance. Insurance is required. If the dimensions of all items purchased are too large to fit in a small flat rate box you must arrange for your items to be picked up and shipped out by a shipping company. The buyer will pay the shipping company directly for the shipping. It is highly recommended that you CONTACT shippers prior to bidding and get an estimate for shipping.
